Terms of Use


Article 1 (Purpose)

These Terms and Conditions of Use (hereinafter referred to as the ” this Agreement “) set forth the matters to be observed when you use the platform “HINATA” (including related services, hereinafter referred to as the “Services”) that you can sell and purchase digital items operated and provided by FUWARI Inc.(hereinafter referred to as the “our company”) and the rights and obligations between us and the Users. You agree to this agreement before using the Service.

Article 2 (Definitions)

Unless otherwise defined, the meanings of the terms used in this Agreement shall be as set forth in the following items:

(1)”Services” means the platform “HINATA” on which NFTs (Non-Fungible Token) and digital items can be sold and purchased.

(2)”Agreement” means the agreement to use the Services entered into by and between us and the user on the terms and conditions of this Agreement.

(3)”Goods” means the NFT (Non-Fungible Token) and/or digital items for which transactions are made in the Services.

(4)”Users” means any and all People using the Services.

(5)”Creator” means a user who has the authority to issue NFT.

(6)”Issue” means that the Creator shall become the original holder of NFT on the Services in accordance with the procedures set forth in this Agreement.

(7)”Issuer” means the creator who issued the NFT on the Services.

(8)”Purchaser” means a user who purchases goods through the Services.

(9)”Exhibitor” means a user who exhibits goods through the Services.

(10)”Product Price” means the price of the goods registered by the seller when the goods are displayed on the Services.

(11)”Unauthorized Product” means a product for which transfer to a third party is prohibited under the terms of use stipulated by the service operator that handles goods and goods produced by falsifying data, using unauthorized tools, or otherwise improperly.

(12)”Personal Information” refers to information that can identify a specific individual, such as address, name, occupation, or telephone number of a living individual (including information that can be easily collated with other information and thereby identify a specific individual). In addition, the personal information is the same as the personal information defined in Paragraph 1 of Article 2 of the Act on the Protection of Personal Information, and in the event any relevant laws and regulations are revised, such definition shall be followed.

(13)”Intellectual Property” means inventions, devices, designs, works, and other products or services that are generated by creative activities of human beings, trademarks, trade names, and other products or services used for business activities, trade secrets, and other technical or business information useful for business activities.

(14)”Intellectual Property Rights” shall mean patents, utility model rights, design rights, copyrights, trademark rights, and other rights stipulated by law with respect to intellectual property, or rights pertaining to interests protected by law.

Article 3 (Consent to the Code)

1. In order to use this service, the users must register the user account (free of charge) after agreeing to this Agreement in advance. By agreeing to this Agreement, this Agreement (as defined in Article 2) will be concluded with us.

2. Use of the Services shall be governed by this Agreement, our Privacy Policy (hereinafter referred to as the “Privacy Policy”) and other rules set forth by us. In the event of any discrepancy between the provisions of this Agreement and the Privacy Policy, the applicable matters shall be determined at our discretion.

3. All transactions, listings, and purchases between users shall be at the user’s own responsibility. We do not guarantee that the Seller’s listing is based on legitimate rights. In addition, we do not sell or purchase by ourselves (and are not parties to the sales agreement), are not entrusted with the sales or purchase, and are not involved in the performance of the sales or purchase.

4. Upon the commencement of the use of the Service by the user via the Web browser, the user shall be deemed to have agreed to the Terms and Conditions. In addition, a contract (hereinafter referred to as the “Use Contract”) shall be concluded between the user and us in accordance with the provisions of this Agreement.

Article 4 (Qualification for Use, etc.)

1 This services is available only to those who meet all of the following requirements.

(1) Those who are 16 years of age or older

(2) People who are legally responsible for concluding contracts

(3) People who agree to this Agreement and are able to continue to comply with this Agreement

(4) People who can provide an Internet access environment at their own responsibility and expense

(5) Those who have access to the means of payment and settlement designated by us and who are capable of payment in the past, our service has not violated the regulations.

2. If the users is a minor, use this service only after obtaining the consent of the person who has parental authority or other legal representative. In addition, in the event the users who was a minor at the time of consent to this Agreement uses the Service after he or she has attained the age of majority, such user shall be deemed to have ratified any and all legal acts and acts of use relating to the Service while such users was a minor.

3. In the event that a minor user use the Services falsely or falsifying that he or she has given consent to his or her age without the consent of a statutory agent, or otherwise uses “fraud” (Article 21 of the Civil Code) to induce such user to believe that he or she is a person with capacity to act, any juristic act relating to the Services may not be rescinded.

4. The users shall use the Services at his/her own responsibility and shall assume all responsibility for any and all acts and results performed using the Services.

Article 5 (Amendment of the Covenant)

1. We may amend this Agreement from time to time in accordance with the provisions of Article 548-4 of the Civil Code in the event of any of the following: In the event this Agreement is amended, this Agreement as amended shall apply.

(1) In the event any amendment to this Agreement conforms to the general interests of the users

(2) The amendment of this Agreement is not inconsistent with the purpose for which the Agreement was concluded, and is reasonable in light of the necessity of the amendment, the appropriateness of the amended contents, the contents thereof, and other circumstances pertaining to the amendment.

2. In the event of any change to this Agreement, we will specify the effective date of this Agreement after the change and notify the users of the revised contents and effective date of this Agreement no later than two weeks prior to the effective date, and inform the user of the contents and effective date of this Agreement by displaying it on the Services or by other means prescribed by our company.

3. Notwithstanding the provisions of the preceding two paragraphs, in the event the users uses the Services after the notification of the change of this Agreement as set forth in the preceding paragraph or the User fails to follow the procedures for cancellation within the prescribed period of time, such users shall agree to the change of this Agreement.

Article 6 (Account Management)

1. The users must register our predetermined information (hereinafter referred to as the “Account Registration”) in order to start using the Services. We shall not be responsible for any problems caused by defects or errors in the contents registered by the users.

2. Our company may refuse registration if the users who has applied for account registration falls under any of the following conditions:

(1) In the event we determine that there is a risk of violation of this Agreement

(2) In the event of a false, clerical error or omission in all or part of the registration information

(3) If the users have been deleted from your account in the past

(4) In the event the Company determines that an Anti-Social Forces, etc. (as defined in Article 19) are applicable.

(5) In the event we determine that registration is inappropriate.

3. The account of the Services may not be transferred, leased, or inherited by a third party. The users must manage the user ID, password, registration information, and other information registered when using the Services at the user’s own responsibility to prevent unauthorized use by third parties. The users shall be solely responsible for improper disclosure of the user ID, password, registration information, and other information to a third party and any liability arising from the use by a third party due thereto, and our company shall not be responsible for any liability whatsoever.

4. When the Services has been used by the ID linked to the registration information of the users, we may treat it as having been used by the users himself/herself identified by such account, and the result of such use and any and all responsibilities associated therewith shall belong to the person identified by such account.

5. If it is found that the account registration information is being used by a third party, such as unauthorized access or theft, the users shall immediately notify us and comply with our instructions.

6. The users shall compensate us and a third party for damages caused to us or a third party by unauthorized use of the accopuntp.

7. In the event the account cannot be used due to loss of information such as account ID and password by the users or for any other reason not attributable to us, our company shall not be liable.

Article 7 (Accounts With Creator Authority)

1. The users who has registered a user account can apply for an account with creator privileges (free of charge) only if all of the following conditions are met.
(1) The person must be 18 years of age or older.
(2) Full understanding of risks from new technologies such as NFT and blockchains.
(3) The specified registration of real name, date of birth, address, etc. has been completed in the profile.

2. If you wish to grant creator privileges and you apply, we will review the users. The review takes into account the number of followers, visibility, content of outgoing content, sales performance of digital content, and relationships with anti-social forces in each SNS of the users who submitted the application. Our company will notify the applicant that, upon completion of the review, the applicant will either register with an account with creator authority or reject the application. In addition, we shall not disclose the specific contents of the examination and the reasons for the results of the examination.3 Even if an application for registration for an account with creative authority is rejected, the users may apply again after 30 days have passed from the date on which the application was rejected.

Article 8 (Fees)

1. Users will incur a fee separately designated by us for the use of the Services. In addition, in the event a network fee (gas fee, etc.) for the Block Chain is incurred in connection with the use of the Service, the users shall bear the network fee (gas fee) for the purchase.

2. Our company shall not be liable for any matters arising from causes not attributable to us that are related to the soaring gas costs, the delay in transactions, or the failure of transactions related to the network commissions (gas charges) of the blockchain.

Article 9 (Issuance of NFT)

1. Users must be granted creator privileges to issue NFTs on the Services. HAZAMA blockchain is used to issue NFTs on this service.

2. The Creator shall, at its own responsibility and expense, issue an NFT.

3. The Creator shall warrant to us that it exclusively owns and/or has obtained the authorization of the Rights Holder to use all rights (including, without limitation, copyrights and portrait rights) in the NFT content or content included in the NFT issued by it. Please note that if a creator issues all or part of content originated on a platform other than the Services as an NFT on the Services, it may be required to authenticate with the account of that platform.

4. The Creator shall issue the NFT on the Services by uploading our prescribed items (titles, images, descriptions, link data, etc.) from our designated web interface. Note that the meta information (thumbnails, titles, descriptive text, etc.) of this goods cannot be changed once it is displayed.

5. The NFT that the Creator can issue on the Service is limited to the data format or file format that we specify.

Article 10 (Exhibition)

The Exhibitor may cancel the listing prior to the conclusion of the sales contract stipulated in Paragraph 2 of Article 9. In addition, the seller shall not cancel (including cancellation or cancellation) the sales contract after the conclusion of the sales contract, and shall not insist on invalidation or cancellation of the sales contract for any reason except as provided by law.

The seller shall not display fraudulent products on the Services.

In the event the Exhibitor engages in an exhibition in violation of this Agreement, or in the event we reasonably determine that the Exhibitor has engaged in an exhibition in which the Exhibitor does not truly intend to enter into a sales contract, or in any other event we reasonably deem it inappropriate, we may suspend, cancel or invalidate the exhibition without prior notice to the Exhibitor. In the event of the suspension, cancellation or invalidation of the exhibition, we may invalidate the purchase for the exhibition and we shall not be liable to compensate for any damage to the exhibitor.

The product price of the seller (including, but not limited to, the total price of the product currently on display) and the number of times the product is displayed can be set at our discretion. In addition, we shall not be liable for any damage to the seller caused by such restriction.

Article 11 (Purchase)

1. The Purchaser shall purchase the Products at the price stipulated by the Exhibitor on the Services. After the conclusion of the sales contract, the Purchaser shall not cancel or cancel the sales contract, and shall not assert the invalidity or cancellation of the sales contract for any reason except as provided by law.

2. A sales contract shall be concluded between the seller and the purchaser with respect to the goods listed on the Services at the time the purchase button is pushed by the purchaser.

3. The purchase price of the product (including but not limited to the upper limit of the price of the product that can be purchased per day) and the number of purchases can be set at our discretion.

4. The Purchaser shall pay such price to us who has been authorized by the Exhibitor to receive the price of the purchased product.

Article 12 (Secondary exhibition)

1. Products purchased through the Services may be listed (sold) secondarily on the secondary distribution market for the Services. Secondary listings are transactions between the purchaser and the exhibitor and we have no liability.

2. Problems relating to transactions between the seller and the users, such as a defect in the product subject to transaction, shall be resolved between the seller and the users.

3. Every time a commodity is traded on a secondary distribution market within the Services, the seller who sells the commodity may receive a part of the sales price set (hereinafter referred to as the “Royalty”). And our company shall be entitled to the royalties designated by our company.

Article 13 (Payment of product price)

1. The seller shall receive the product price from the purchaser through a separately designated method (such as our system or an external payment service).

2. Upon conclusion of the sales contract, the purchaser shall pay the price of the goods in the manner separately designated by our company.

3. In the event the Exhibitor reasonably determines that the Exhibitor has fulfilled its obligations under the sales contract, including the transfer of the Goods, the Exhibitor shall pay to our company a fee separately designated. The transfer fee for the payment of the product price to our seller shall be determined by our company and shall be borne by the seller.

Article 14 (Receipt of the price of goods)

We will not compensate the seller for the product price even in the event the payment of the product price by means such as a credit card of the purchaser is invalid or cancelled (chargeback) due to unauthorized use of the credit card, etc.

Article 15 (Measures to Change the Contents of Services and Suspension, etc.)

1. Our company shall be entitled to change the contents of the Services and any and all services provided using the Services at any time without notifying the user in order to operate the Services properly and smoothly.

2. In the event of any of the following, we shall be entitled to take measures such as suspension of all or part of the Services without notice to the uspersp.

(1)Periodic or emergency inspections or maintenance of the computer system pertaining to the Services

(2)Case where a computer, communication line, or other equipment has been stopped due to an accident, etc.

(3)In the event of an impediment to the operation of the Services due to force majeure, such as fire, power failure, or natural disaster

(4)In the event of any abnormality in our system due to hacking or other means

(5)In the event of a change, discontinuation, suspension or failure of the services provided by a third party to which the Services are linked.

(6)In the event we deem it necessary to suspend use or suspend use.

Article 16 (Termination of Services)

1. We may, at our convenience, terminate the provision of the Services (including changing the contents and specifications of the Services, in whole or in part, to different contents and specifications without maintaining the identity of the Services). In this case, we shall endeavor to notify the users in advance.

2. In the event the Services is terminated, no compensation shall be made for the product price purchased by the users.

3. In the event the Services are terminated, the NFT obtained by the users in the Services shall be transmitted to the operating node outside the Services and shall be stored. Provided, however, that the handling of the transmitted NFT shall be entrusted to the operator of the destination node.We are not responsible for any NFT transmitted.

Article 17 (Services of Other Companies)

The use of the Services requires the storage of digital assets and cryptographic assets designated by us and the use of smart contract systems and other services designated by us, some of which are provided by businesses other than us. We assume no responsibility whatsoever for the services provided by businesses other than us.

Article 18 (Prohibited Acts)

When using the Services, we shall prohibit the users from any act listed in the following items, any act that encourages such act, or any act that may fall under any of the foregoing.

(1)Acts in violation of the code, laws, or public order and morals

(2)Acts that infringe on the copyrights, trademarks, patents, and other intellectual property rights of us or third parties (including other users)

(3)Acts of exhibiting or purchasing without the intention to enter into a sales contract

(4)Defamation or unjustly discrimination, libel, or discomfort in the reputation or reputation of our company or third party

(5)Acts that infringe or threaten to infringe upon the property of our company or a third party

(6)Act of causing economic damage to our company or a third party

(7)Threatening action against our company or any third party

(8)The act of sending computer viruses and harmful programs

(9)Acts that place excessive burdens on the infrastructure facilities for the Services

(10)The act of destroying, attacking, or altering the functions of the servers, network systems, and security that make up the Services.

(11)Access to the Services in a manner other than our provided interface

(12)Sales, advertising, solicitation, or any other profit-making act (except as agreed to by us)

(13)Use of the Services by using the account of another user, or use the name or other name of another user to impersonate another person to use the Service.

(14)Acts related to criminal proceeds, acts related to the provision of terrorist financing, or suspected acts

(15)Collection or accumulation of personal information, etc. concerning other users

(16)Advertising, advertising, solicitation, business or any other profit-making act

(17)Acts aimed at encountering an unknown different gender

(18)Conduct that provides benefits or otherwise cooperates directly or indirectly with anti-social forces

(19)Acts in Violation of the Credit Card Membership Agreement

(20)Any act which our company reasonably consider to be aimed at realizing the credit card shopping facility

(21)Other acts of using the Services for a purpose different from the intended use of the Services.

(22)The use of the Services by more than one account for the purpose of enforcing the prohibited acts set forth in this Article.

(23)Lending, transferring, buying or selling accounts or Content to a third party for value outside the Services

(24)Any other act which we reasonably deem inappropriate

Article 19 (Elimination of Antisocial Forces)

1. The users shall express its intention not to be an anti-social force (meaning an organized crime group, a member of an organized crime group, a quasi-member of an organized crime group, a company affiliated with an organized crime group, a company affiliated with an organized crime group, a company associated with an organized crime group, a logo for advocating social movements, or a group of special intellectual violence, or any other person equivalent thereto) at present and in the future, nor shall the users engage in any act of violent demanding, unjustifiable demands exceeding legal responsibilities, acts of intimidating behavior and using violence in connection with transactions, acts of injuring credibility or obstructing business by using fraudulent means or force, or any other act equivalent thereto, at present and in the future.

2. In the event the users determines that any of the provisions in the preceding paragraph applies, our company shall take all necessary measures such as deleting the account of such users without prior notice. Such users shall not be entitled to claim damages or exercise any other rights in response to such action by our company.

Article 20 (Withdrawal of Users)

1. The users who wishe to withdraw from the Services may withdraw from the membership by following our prescribed procedures.

2. In the event a user resigns from the Services, all data relating to the users in the Services shall be deleted.

3. This Agreement shall terminate upon the withdrawal of the users.

Article 21 (Restriction on Use and Cancellation of Registration)

1. We may take such measures as restricting the use of the Services, in whole or in part, or suspending or deleting the user’s account or as we reasonably deem necessary and appropriate without prior notice to the users in the event that the users falls under any of the following:

(1)In the event of a breach of any of the provisions of the Agreement

(2)In the event of a failure to perform the monetary obligation of the Fees, etc.

(3)In the event no response is received from our company for a certain period of time

(4)In the event the Services has not been used for a certain period since its final use

(5)In the event of a breach of any of the representations or commitments set forth in Article 19

(6)In the event we reasonably determine that the use of the Services is inappropriate.

2. The users shall compensate for any damages (including lost profits and reasonable attorneys’ fees) directly or indirectly incurred by us arising out of the use of the Services (including claims made by us from third parties) in accordance with our claims.

Article 22 (Treatment of Rights)

1. Our company deem that the creator has authorized our company to publish the products to the users on the Services by uploading the data which constitutes the NFT products from the web interface designated by our company.

2. The NFT copyright issued by the creator belongs to the creator. Our company are in a position to provide platforms under this Agreement and are not in a position to permit users to transfer or lease copyrights to the goods.

3. Our company shall be entitled to publish or otherwise use the NFT issued by the creator free of charge to the extent necessary for the purpose of advertising the Services as our company or the Platform, and such creator shall also grant this permission. 。

4. I hereby agree to grant to us the right to use all copyrights (including the rights stipulated in Articles 27 and 28 of the Copyright Law) which may arise, whether or not copyrighted, in part or in whole, for free and unlimited use to the extent necessary for the provision of the Services.

5. The users acknowledges that all information, content and merchandise (hereinafter collectively referred to as “our content”) provided in the Services, in any manner or in any form, are licensed to the users and may not be reproduced, reproduced, transmitted to the public, altered or otherwise used beyond the scope of private use as provided by the copyright law.

6. The copyright, patent right, utility model right, trademark right, design right, portrait right, and all other intellectual property rights relating to our content and the right to receive registration of these rights (hereinafter collectively referred to as “intellectual property rights”) belong to the licensor or the seller to whom we have obtained a license and do not belong to the purchaser. In addition, users shall not reproduce, distribute, reprint, forward, send, modify, adapt or otherwise make secondary use of our content, regardless of the existence of intellectual property rights.

7. In the event that the users breaches any of the provisions of this clause, the users must resolve the issue at his or her own expense and responsibility, and take appropriate measures to prevent us from suffering any detriment, burden or damage.

8. The users shall not exercise the moral rights of author (including the right of publication, name representation, and the right of preservation of identity) against us, any third party who has rightfully acquired the rights from our company, or any person who has succeeded to the rights from such third party, with respect to any part of the content of the publication that may become a work.

Article 23 (No Warranty)

Our company do not warrant, express or implied, that the Services will be free from de facto or legal defects (including, without limitation, security-related defects, errors, bugs, infringements of rights, etc.), nor will they be safe, reliable, accurate, complete, effective or fit for any particular purpose. our company do not warrant that the Services will not be interrupted, discontinued or otherwise impaired.

Article 24 (Our Disclaimer)

1. Our company shall not be liable for any damages incurred by the users arising out of the Services. However, if the this agreement is a consumer contract stipulated in the consumer contract law, the exemption stipulated in this clause shall not apply, and we shall be liable to compensate for any damage incurred by the users in connection with the use of the Services (except for reasons not attributable to our company).

2. Even in the case stipulated in the proviso of the preceding paragraph, our company shall not be liable for any damage caused to the users by our negligence (excluding gross negligence) or tort arising from special circumstances (including the case where our company or the users foresee or foresee the occurrence of damage). In addition, the compensation for damages suffered by the users due to the default or tort caused by our negligence (excluding gross negligence) shall be limited to the amount of commissions actually received by our company from the seller in the month in which such damages occurred under the sales contract between the seller and the purchaser which caused such damages.

3. Our company shall not be liable for any damages caused by any change, suspension or termination of the Services unless there is any reason attributable to our company.

4. Our company are not involved in or responsible for the user’s environment for use of the Services.

5. Our company does not warrant that the Services will be suitable for the specific purpose of the users, that they will have the desired functionality, merchantable value, accuracy, and usefulness, that the use of the Services by the users will comply with the laws and regulations applicable to the users or the internal regulations of the industry association, or that there will be no failure. In addition, in the event the content provider displays the contents of its services on the Services, the users shall make inquiries to the content provider with regard to the contents displayed by the content provider concerned, and our company acknowledge in advance that the content provider concerned does not guarantee the contents or assume responsibility for the contents displayed by the content provider concerned.

6. Our company does not guarantee that the Services are compatible with all information terminals. The users agree in advance that the Services may be defective in operation due to the upgrading of the OS of the information terminals used for the Services. Our company does not guarantee that the failure will be resolved by modifying our program in the event of such failure.

7. Our company shall not be liable for any damages directly or indirectly incurred by the users as a result of the use of the Services.

8. Our company shall not be liable for loss of opportunity, interruption of business or any other damages (including indirect damages and lost profits) incurred by the users or other third parties, even if our company have been advised in advance of the possibility of such damages, unless there is any reason attributable to our company.

9. Our company make no warranty as to the period of existence of the product itself or that the product itself will not fail.

10. Our company shall not be responsible for any disputes or troubles between users or other third parties. In the event of any trouble between the users or any other third party, both parties shall be responsible for solving the problem and shall not make any claim to our company.

11. In the event that a user causes damage to other users or other third parties in connection with the use of the Services or causes a dispute with a third party, the users shall, at his own expense and responsibility, compensate for such damage or resolve such dispute, and shall not cause any inconvenience or damage to our company.

12. In the event our company receives a claim for damages from a third party due to the user’s act, our company shall settle such claim at the user’s expense (including attorney’s fees) and on the responsibility. In the event that we pay damages to such third party, the users shall pay to us all expenses (including attorneys’ fees and lost profits), including such damages.

13. Our company acknowledge in advance that we shall not guarantee or be responsible for the ownership of the copyright created or displayed on the product itself, whether or not to download files related to the product, whether or not to resell the product, etc.

14. Our company will respond appropriately to the security of the Services in accordance with the duty of due care of a good manager. In the event of a security problem, our company will respond promptly, and any damage caused to the user will be governed by Clause 2 of this article.

Article 25 (User Risks)

1. The Services is based on the assumption that our company is licensed for HAZAMA Blockchain. The users shall use the Services upon acknowledging that they may become unable to access NFTs purchased on the Services due to unavailability of such licenses or for any other reason and that they will not be able to receive compensation from us in such event.

2. Our company will check whether the NFT listed on the Services infringes the rights of any third party or is in violation of laws and regulations, but will not find any infringement or violation. The Users shall use the Services after acknowledging that NFT issued or held on the Services may be deleted on the grounds of infringement of the rights of a third party or violation of laws and regulations, and that in such case compensation cannot be received from our company.

3. NFT traded on the Services may change the price on the Services in accordance with the popularity of its NFT on the Services. The Users shall use the Services only after acknowledging that the goods has the risk of price fluctuations and that such risk cannot be compensated by our company.

4. Our company will not individually inform you of any tax or other obligation related to the revenues obtained by the users on the Services. The users shall properly perform their tax obligations arising from the use of the Services, acknowledging that they cannot receive such individual information from our company.

5. NFT data is stored on HAZAMA blockchain and not on this service. The Users shall use the Service only after acknowledging that the Service merely displays data on HAZAMA blockchain.

Article 26 (Liability for Damages)

The users shall indemnify us for any damages (including lost profits and attorneys’ fees) incurred by us in the event of any damage to us in connection with the breach of this Agreement or the use of the Services.

Article 27 (Confidentiality)

1. “Confidential Information” as used in this Agreement means all information relating to our technology, sales, operations, finance, organization, or other matters that a user has provided or disclosed in writing, orally, or on a recording medium, etc. or has become aware of by us in connection with this Agreement or the Services. Provided, however, that the information set forth in each of the following items shall be excluded from the Confidential Information:

(1) Information that was or was already known to the public at the time of provision or disclosure by our company.

(2) The person who has become publicly known by publications or other means for reasons not attributable to the person after being provided or disclosed or learned from our company.

(3) Information lawfully obtained from a third party authorized to provide or disclose the information without the obligation of confidentiality

(4) Information independently developed without the use of confidential information

2. The Users shall maintain the Confidential Information as confidential, use it only for the purpose of using the Services, and shall not provide, disclose, or divulge the Confidential Information of the Company to any third party without our written consent.

3. Notwithstanding the provisions of Paragraph 2, users may disclose Confidential Information to the minimum extent necessary in accordance with laws, orders, demands or requests of courts or governmental agencies. Provided, however, that in the event of such order, demand or request, we must promptly notify our company to that effect.

4. The users shall obtain the prior written approval of the company when reproducing the document or electromagnetic record containing the Confidential Information, and shall strictly manage the reproductions in accordance with the provisions of Paragraph 2.

5. At any time upon request from us, the users shall, without delay and in accordance with our instructions, cease using, return or destroy the Confidential Information and any written or other recording media containing or containing the Confidential Information and all copies thereof.

Article 28 (Handling of Personal Information)

Personal information and user information shall be handled appropriately in accordance with the Privacy Policy separately stipulated by us.

Article 29 (Notice or Communication)

1. Notices or contacts between the users and our company shall be made in the manner prescribed by our company.

2. Unless a change notice is submitted by the users in accordance with the methods separately set forth by our company, our company will notify or contact the current registered contact as valid.

3. Even in the event notice from our company is delayed or non-arrival due to a failure to submit a notification of change as set forth in the preceding clause, these shall be deemed to have arrived at the users at the time when it should normally arrive.

Article 30 (Assignment of Rights and Obligations, etc.)

1. The users may not assign, lend, or pledge the status hereunder or any rights and obligations hereunder to any third party without our prior written consent.

2. In the event the company causes a third party to succeed to the business relating to the Services due to merger, company split, transfer of business or for any other reason, the company may, upon succession to such business, transfer the status hereunder, rights and obligations, and user information to the successor of such business, and the users shall agree in advance to such transfer in this paragraph.

Article 31 (Severability)

1. If any part of the provisions of this Agreement is held to be invalid in accordance with laws and regulations, the other provisions of this Agreement shall remain in full force and effect.

2. If any provision of this Agreement is invalid or cancelled in relation to the users, this Agreement shall be effective in relation to other users.

Article 32 (Governing Law, Competent Court)

1. The validity, interpretation and performance of this Agreement shall be governed by and construed in accordance with the laws of Japan.

2. The Tokyo Summary Court or the Tokyo District Court shall have exclusive jurisdiction over any controversy, lawsuit, or any other dispute between us and the users, depending on the amount claimed.

Article 33 (Consultative Settlement)

In the event any matter not stipulated in this Agreement or any doubt arises regarding the interpretation of this Agreement, etc., we and the users shall promptly resolve such matter after due consultation in accordance with the doctrine of good faith and fair dealing with each other.

■第 5 条(規約の変更)


(1) 本規約の変更が、ユーザーの一般の利益に適合するとき

(2) 本規約の変更が、契約をした目的に反せず、かつ、変更の必要性、変更後の内容の相当性及びその内容その他の変更に係る事情に照らして合理的なものであるとき



■第 6 条(アカウントの管理)



(1) 本規約に違反するおそれがあると当社が判断した場合

(2) 登録情報の全部又は一部につき虚偽、誤記又は記載漏れがあった場合

(3) 過去にアカウントの削除を受けた者である場合

(4) 反社会的勢力等(第19条で定義する) に該当すると当社が判断した場合

(5) その他、当社が登録を適当でないと判断した場合

3.本サービスのアカウントは、第三者に譲渡、貸与又は相続させることはできません。 ユーザーはユーザーIDやパスワード、登録情報その他本サービスを利用する際に登録した内容が、第三者により不正に利用されないよう、ユーザー自身の責任でこれらを管理しなければなりません。ユーザーは、ユーザーID、パスワード、登録情報その他の内容の第三者への不適切な開示及びこれによる第三者の使用から生じたいかなる債務についても、単独で責任を負うものとし、当社は一切の責任を負いません。

1. 当社は、当社の都合により、本サービスの提供を終了(サービスの同一性を維持しないかたちで、本サービスの内容や仕様の全部又は一部について、異なる内容や仕様に変更することを含みます)することができます。この場合、当社はユーザーに事前に通知するよう努めるものとします。

2. 本サービスを終了する場合、ユーザーが購入された商品代金の一切の補償は行いません。

3. 本サービスを終了する場合、本サービスにおいてユーザーが取得したNFTは、本サービス外の稼働中のノードに送信し、保管されるものとする。ただし、送信されたNFTの取り扱いは送信先のノードの運営会社に一任されるものとする。送信されたNFTにおいて当社は一切の責任を負いません。

(4) 当社又は第三者の名誉・信用を毀損又は不当に差別若しくは誹謗中傷、不快感を与える行為

(5) 当社又は第三者の財産を侵害する行為、又は侵害する恐れのある行為

(6) 当社又は第三者に経済的損害を与える行為

(7) 当社又は第三者に対する脅迫的な行為

(8) コンピューターウィルス、有害なプログラムを送信する行為

(9) 本サービス用インフラ設備に対して過度な負担をかける行為

(10) 本サービスを構成するサーバーやネットワークシステム、セキュリティの機能を破壊したり、攻撃又は改竄を行う行為

(11) 当社提供のインターフェース以外の方法で本サービスにアクセスをする行為

(12) 営業、宣伝、広告、勧誘、その他営利を目的とする行為(ただし、当社が同意したものを除く)

(13) 他のユーザーのアカウントを使用して本サービスを利用する行為、又は他のユーザーの名前、名称を用いる等、他人になりすまして本サービスを利用する行為

(14) 犯罪収益に関する行為、テロ資金供与に関する行為、又はその疑いがある行為

(15) 他の利用者に関する個人情報等を収集または蓄積する行為

(16) 宣伝、広告、勧誘、営業その他営利を目的とする行為

(17) 面識のない異性との出会いを目的とする行為

(18) 反社会的勢力に対して直接または間接に利益を供与し、またはその他の協力をする行為

(19) クレジットカード会員規約に違反する行為

(20) クレジットカードのショッピング枠の現金化を目的とすると当社が合理的に判断する行為

(21) その他本サービスが予定している利用目的と異なる目的で本サービスを利用する行為

(22) 本条の禁止行為をおこなう目的で、本サービスを複数のアカウントにより使用する行為

(23) 本サービス外において、アカウント又は本コンテンツを第三者に有償で貸与、譲渡、売買等をする行為

(24) 上記の他、当社が不適切と合理的に判断する行為

7. ユーザーが本条の規定に違反して問題が発生した場合、ユーザーは、自己の費用と責任において当該問題を解決するとともに、当社に何らの不利益、負担又は損害を与えないよう適切な措置を講じなければなりません。

8. ユーザーは、著作物となりうる掲載内容の一部について、当社並びに当社より正当に権利を取得した第三者及び当該第三者から権利を承継した者に対し、著作者人格権(公表権、氏名表示権及び同一性保持権を含みます。)を行使しません。

■第 23 条(非保証)


■第 24 条(当社の免責事項)

1. 当社は、本サービスに起因してユーザーに生じたあらゆる損害について一切の責任を負いません。ただし、利用契約が消費者契約法に定める消費者契約となる場合、本項の免責規定は適用されず、当社は利用者が本サービスの利用に関して被った損害を賠償する責任を負います(当社の責めに帰することができない事由によるものであるときを除きます。)

2. 前項ただし書に定める場合であっても、当社は、当社の過失(重過失を除きます。)による債務不履行または不法行為によりユーザーに生じた損害のうち特別な事情から生じた損害(当社またはユーザーが損害発生につき予見し、または予見し得た場合を含みます。)について一切の責任を負いません。また、当社の過失(重過失を除きます。)による債務不履行または不法行為によりユーザーに生じた損害の賠償は、当該損害の原因となった出品者と購入者との間の売買契約において当社が出品者から当該損害が発生した月に現実に受領した手数料の額を上限とします。

3. 当社は、当社の責めに帰すべき事由がない限り、本サービスの内容変更、中断、終了によって生じたいかなる損害についても、一切責任を負いません。

4. 当社は、ユーザーの本サービスの利用環境について一切関与せず、また一切の責任を負いません。

5. 当社は、本サービスがユーザーの特定の目的に適合すること、期待する機能・商品的価値・正確性・有用性を有すること、ユーザーによる本サービスの利用がユーザーに適用のある法令または業界団体の内部規則等に適合すること、および不具合が生じないことについて、何ら保証するものではありません。なお、本サービス上にコンテンツ事業者が自らのサービス内容等を表示する場合には、ユーザーは、当該コンテンツ事業者が表示した内容について、コンテンツ事業者に問い合わせをするものとし、当社は、当該コンテンツ事業者が表示した内容に関して、その内容を保証するものではなく、責任を負うものではないことをあらかじめ了承するものとします。\

6. 当社は、本サービスが全ての情報端末に対応していることを保証するものではなく、本サービスの利用に供する情報端末のOSのバージョンアップ等に伴い、本サービスの動作に不具合が生じる可能性があることにつき、ユーザーはあらかじめ了承するものとします。当社は、かかる不具合が生じた場合に当社が行うプログラムの修正等により、当該不具合が解消されることを保証するものではありません。

7. 当社は、本サービスを利用したことにより直接的または間接的に利用者に発生した損害について、一切賠償責任を負いません。

8. 当社は、当社の責めに帰すべき事由がない限り、ユーザーその他の第三者に発生した機会逸失、業務の中断その他いかなる損害(間接損害や逸失利益を含みます)に対して、当社が係る損害の可能性を事前に通知されていたとしても、一切の責任を負いません。

9. 当社は、商品自体の存在期間や、商品自体に不具合が生じないことについて、何ら保証するものではありません。

10. ユーザー間及びその他の第三者との間の紛争及びトラブルについて、当社は一切責任を負わないものとします。ユーザー間及びその他の第三者でトラブルになった場合でも、両者同士の責任で解決するものとし、当社には一切の請求をしないものとします。

11. ユーザーは、本サービスの利用に関連し、他のユーザー及びその他の第三者に損害を与えた場合または第三者との間に紛争を生じた場合、自己の費用と責任において、かかる損害を賠償またはかかる紛争を解決するものとし、当社には一切の迷惑や損害を与えないものとします。

12. ユーザーの行為により、第三者から当社が損害賠償等の請求をされた場合には、ユーザーの費用(弁護士費用含む)と責任で、これを解決するものとします。当社が、当該第三者に対して、損害賠償金を支払った場合には、ユーザーは、当社に対して当該損害賠償金を含む一切の費用(弁護士費用及び逸失利益を含む)を支払うものとします。

13. 当社は、商品自体に設定又は表示された著作権の帰属先、商品に関連するファイルのダウンロード可否や、商品再販の可否等についてその内容を保証するものではなく、責任を負うものではないことをあらかじめ了承するものとします。

■第 25 条(ユーザーのリスク)

1. 本サービスは、当社がHAZAMAブロックチェーンに係るライセンスを許諾されていることを前提に成り立っています。ユーザーは、当社が当該ライセンスの許諾を受けられなくなることその他の理由により、本サービス上で購入したNFTにアクセスできなくなる可能性があること及びその場合に当社から補償が受けられないことを認めた上で、本サービスを利用するものとします。

2. 当社は、本サービス上で出品されるNFTが第三者の権利を侵害し又は法令に違反するものでないかをチェックしますが、すべての侵害又は違反を発見することはできません。ユーザーは、本サービス上で発行又は保有するNFTが、第三者の権利侵害又は法令違反を理由に削除される可能性があること及びその場合に当社から補償が受けられないことを認めた上で、本サービスを利用するものとします。

3. 本サービス上で取引されるNFTは、本サービス上におけるそのNFTの人気に応じて、本サービス上における価格が変化する可能性があります。ユーザーは、商品に価格変動リスクがあること及びそのリスクにつき当社から補償が受けられないことを認めた上で、本サービスを利用するものとします。

4. 当社は、ユーザーが本サービス上で得た収益に関する納税等の義務につき、個別の案内を行いません。ユーザーは、当社からそのような個別の案内が受けられないことを認めた上で、本サービスの利用に際して生じた納税義務を適切に履行するものとします。

5. NFTのデータは、HAZAMAブロックチェーン上に保存され、本サービス上には保存されません。ユーザーは、本サービスがHAZAMAブロックチェーン上のデータを表示するものに過ぎないことを認めた上で、本サービスを利用するものとします
